Terms of Service

1. Acceptance of Terms

By accessing or using CriteriaIQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including behavioral health treatment providers, utilization review clinicians, and facility administrators.

2. Description of Service

CriteriaIQ is an AI-powered medical necessity analysis platform that integrates with Kipu EMR to assist utilization review professionals in documenting medical necessity criteria including ASAM 4th Edition, Milliman MCG, InterQual BH, and LOCUS. The Service is provided as a Chrome browser extension and accompanying web platform.

3. Clinical Disclaimer

CriteriaIQ is a documentation support tool only. All output generated by CriteriaIQ must be reviewed by a licensed clinician before submission to any payer, insurance company, or regulatory body. CriteriaIQ does not provide medical advice, clinical authorization, or insurance authorization. CriteriaIQ does not guarantee any insurance authorization outcome. The Service is intended to assist utilization review professionals and is not a substitute for clinical judgment, licensure, or professional expertise.

4. HIPAA Compliance

Users who are covered entities under the Health Insurance Portability and Accountability Act (HIPAA) must execute a Business Associate Agreement (BAA) with CriteriaIQ before using the Service to process Protected Health Information (PHI). Use of the Service to process real patient PHI without an executed BAA is a violation of these Terms. To request a BAA, visit criteriaiq.com/baa-request.

5. Subscription and Payment

CriteriaIQ is offered on a subscription basis. By subscribing, you authorize CriteriaIQ to charge your payment method on a recurring monthly basis. All subscriptions include a 14-day free trial. You may cancel at any time through the customer portal. Refunds are not provided for partial billing periods. Prices are subject to change with 30 days notice.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Share your account credentials with unauthorized users
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to process PHI without an executed BAA
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use automated means to access the Service beyond normal extension usage

7. Intellectual Property

CriteriaIQ and all related content, features, and functionality are owned by CriteriaIQ and are protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CriteriaIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunity, arising from your use of or inability to use the Service. CriteriaIQ's total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CriteriaIQ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

CriteriaIQ may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

12. Modifications to Terms

CriteriaIQ reserves the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
